No, residency is not required to form an SRL in Paraguay. Foreign nationals can register a company by appointing a local legal representative (apoderado) who will act on their behalf with the Paraguayan authorities. However, at least one of the two required partners must have a valid ID or passport that can be notarized. Many foreigners complete the entire process remotely by granting a power of attorney (poder notarial) to a local attorney.
There is no statutory minimum capital requirement for an SRL in Paraguay. Partners can declare a nominal capital contribution — even as low as 1 million Guaraní (approximately USD $130) — though a more realistic figure is typically declared to signal business credibility to banks and clients. The capital must be declared in the articles of association (acta constitutiva) and divided into quotas (cuotas) among the partners.
Once all documents are in order, the registration process typically takes between 5 and 10 business days for the core SRL incorporation. After that, you'll need to register for a RUC (tax identification number) with the Subsecretaría de Estado de Tributación (SET), which takes an additional few days. In total, most entrepreneurs are fully operational with a registered company and RUC within 2–4 weeks, depending on document preparation time and the efficiency of your chosen notary and attorney.
Paraguay operates a strict territorial tax system, meaning only income sourced from activities within Paraguay is subject to local taxes. Income earned from clients or transactions entirely outside Paraguay is not taxable under Paraguayan law. This is legally confirmed and widely used by digital businesses. However, this does not exempt you from taxes in your home country or country of tax residency — you may still owe taxes elsewhere depending on your personal situation. This is one of the more challenging aspects of doing business in Paraguay. Most traditional Paraguayan banks (such as Banco Continental, Itaú Paraguay, and BBVA) require in-person presence to open a business account.
